Section 3 of 7

Preparation

The documents and records buyers expect to see.

Don’t forget your online presence. Buyers search for your business before they ever call. See the Brand and Online Presence section for a checklist.

Proper preparation helps buyers trust what they see and can keep the sale moving. Here’s what you’ll need organized and ready:

Financial Documents

  • 3–5 years of tax returns and financial statements
  • Profit & Loss statements (monthly/quarterly)
  • Balance sheets and cash flow statements
  • Accounts receivable and payable aging reports
  • Inventory lists and valuations

Legal & Operational

  • Corporate documents and ownership structure
  • Contracts (customer, supplier, lease agreements)
  • Employee agreements and organizational chart
  • Intellectual property documentation
  • Insurance policies and pending litigation info

Assets & Equipment

  • List of all equipment, vehicles and assets
  • Real estate documentation (if owned)
  • Maintenance records and warranties
  • Technology systems and software licenses

Business Operations

  • Customer lists and relationship history
  • Vendor and supplier agreements
  • Marketing materials and branding assets
  • Standard operating procedures (SOPs)

Pro Tip: Start Early

Begin organizing these documents 6–12 months before you plan to sell. Clean, organized records show buyers a well-run business.
